These Terms and Conditions ("Terms") govern your access to and use of the website, mobile applications, payment services, and related platforms (collectively, the "Services") provided by InDhan PayGate Private Limited ("InDhanPay", "we", "us", or "our"), a company incorporated under the laws of India with its registered office at CIDI Office, SGSITS Campus, 23 Sir M. Visvesvaraya Marg, Indore, Madhya Pradesh 452003.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.
1. Definitions
- "User" refers to any individual or entity that accesses, registers for, or uses our Services, including fuel station owners, operators, and their authorized representatives.
- "Merchant" refers to a business entity that has registered with InDhanPay to accept payments and use our platform for retail operations.
- "Platform" refers to the InDhanPay website, dashboard, mobile applications, APIs, and all associated services and tools.
- "Transaction" refers to any payment, settlement, refund, or financial operation processed through our Services.
2. Eligibility
To use our Services, you must:
- Be at least 18 years of age.
- Be legally capable of entering into binding contracts under Indian law.
- Provide accurate, current, and complete information during registration and maintain the accuracy of such information.
- Comply with all applicable KYC (Know Your Customer) requirements as mandated by the Reserve Bank of India (RBI) and other regulatory authorities.
- Not be barred from using the Services under the laws of India or any other applicable jurisdiction.
3. Account Registration and Security
- You are responsible for maintaining the confidentiality of your account credentials, including passwords, PINs, and API keys.
- You must immediately notify us of any unauthorized access to or use of your account.
- We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.
- You are solely responsible for all activities that occur under your account.
4. Services
InDhanPay provides the following services, subject to these Terms:
- Payment Processing: UPI, card, and cash payment acceptance through supported payment methods for fuel stations and retail businesses.
- Real-Time Reconciliation: Automated matching and reconciliation of payment transactions with sales records.
- Retail Automation: Point-of-sale management, inventory tracking, shift management, and business analytics for fuel station operations.
- Settlement Services: Timely settlement of collected payments to registered merchant bank accounts.
- Reporting and Analytics: Transaction reports, business insights, and compliance documentation.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.
5. User Obligations
By using our Services, you agree to:
- Use the Services only for lawful purposes and in compliance with all applicable laws, rules, and regulations.
- Not use the Services for money laundering, terrorist financing, or any other illegal financial activity.
- Provide accurate and truthful information in all dealings with us and through the platform.
- Not attempt to gain unauthorized access to our systems, networks, or other users' accounts.
- Not reverse engineer, decompile, or disassemble any part of our software or platform.
- Not use automated tools, bots, or scripts to access or interact with our Services without our prior written consent.
- Cooperate with any investigations or audits conducted by us or regulatory authorities.
6. Fees and Charges
- Our fee structure is communicated to you at the time of registration and is available on your merchant dashboard.
- We reserve the right to revise fees with 30 days' prior written notice. Continued use of the Services after fee changes constitutes acceptance of the revised fees.
- All applicable taxes, including GST, shall be borne by the User as per prevailing tax laws.
- Fees may be deducted from settlements or charged to your registered payment method as agreed.
7. Intellectual Property
- All content, trademarks, logos, software, designs, and materials on the Platform are the exclusive property of InDhan PayGate Private Limited or its licensors and are protected under applicable intellectual property laws.
- You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your legitimate business purposes.
- You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Platform without our prior written consent.
- Any feedback, suggestions, or ideas you provide to us may be used by us without any obligation to you.
8. Limitation of Liability
- To the maximum extent permitted by applicable law, InDhanPay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- Our total liability for any claims arising out of or relating to these Terms or the Services shall not exceed the fees paid by you to us in the twelve (12) months preceding the claim.
- We are not liable for any loss or damage arising from unauthorized access to your account due to your failure to maintain account security.
- We do not guarantee uninterrupted, error-free, or secure access to the Services. The Services are provided on an "as is" and "as available" basis.
9. Indemnification
You agree to indemnify, defend, and hold harmless InDhan PayGate Private Limited, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising out of or related to:
- Your use of or access to the Services.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Any third-party claims arising from your use of the Services.
10. Termination
- Either party may terminate this agreement with 30 days' written notice.
- We may immediately suspend or terminate your access to the Services if you breach these Terms, engage in fraudulent activity, or if required by law or regulatory order.
- Upon termination, all pending transactions will be processed and settled in accordance with our standard procedures.
- Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.
11. Dispute Resolution
- Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good faith negotiation between the parties.
- If the dispute cannot be resolved through negotiation within 30 days, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.
- The seat of arbitration shall be Indore, Madhya Pradesh, India.
- The language of arbitration shall be English.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. The courts of Indore, Madhya Pradesh shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.
13. Amendments
We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
